About this template

Use this when hiring an independent contractor—not an employee—for a defined project or retainer. It captures parties, scope, payment terms, ownership of work product, and confidentiality.

Agencies and small businesses use it to avoid informal email-only deals. It does not create an employment relationship and is not tax or immigration advice.

Blocked document types (wills, court papers, family-law instruments, notarized deeds) must not be uploaded as substitutes for this template.

Jurisdiction note

Written in plain English as a general starting point for businesses in the United States and the United Kingdom. Using this agreement doesn't make someone a contractor. If you control their hours and methods, or they work only for you, the law may treat them as your employee. Laws differ between countries and states, and this template has not been reviewed by a lawyer. It is not legal advice. Have a qualified lawyer review it for your situation.
